Terms of Service
code402 is software, not a financial institution. code402 verifies cryptographic vouchers and routes digital service calls. code402 never takes custody, possession, control, or intermediate possession of user fiat currency or cryptocurrency.
1. Acceptance of Terms
By accessing or using the code402 website, APIs, smart contract interfaces, Model Context Protocol (MCP) endpoints,
or the Coinbase Onramp portal located at https://code402.dev/fund, you agree to be bound by these Terms of Service.
If you do not agree, do not access our services.
2. Nature of Services
code402 provides:
- Deterministic Validation Micro-services: Offline verification of financial identifiers (IBAN, LEI, VAT, BIC) and data assertions.
- x402 Protocol Implementation: An open conformance suite and settlement gateway for HTTP 402 machine-to-machine micro-payments using USDC on Base.
- Coinbase Developer Platform (CDP) Onramp Integration: A client-side portal facilitating direct purchases of USDC on Base from Coinbase into unhosted user wallets.
- B2B Settlement & Invoice Clearing: Zero-custody cryptographic escrow contracts and settlement verification.
3. Non-Custodial Architecture & Third-Party Ramps
Coinbase Onramp: When you fund your wallet via /fund, your transaction is executed directly with Coinbase Inc.
or its licensed money transmission subsidiaries. code402 acts solely as a technical referrer; we do not process your credit card,
do not hold your fiat funds, and do not intermediate the delivery of USDC.
USDC on Base: All x402 payments are peer-to-peer transfers executed on the Base blockchain (Chain ID 8453) using EIP-3009
TransferWithAuthorization or direct ERC-20 transfers. You remain solely responsible for safeguarding your private keys.
4. Acceptable Use & Sanctions Compliance
You agree not to use code402 for any illegal activities, including money laundering, terrorist financing, or attempts to circumvent economic sanctions. You represent that neither you nor any beneficial owner is subject to sanctions administered by OFAC, the UK HM Treasury, the European Union, or the United Nations. Counterparties appearing on sanctions lists are rejected at the edge.
5. Disclaimer of Warranties & Limitation of Liability
THE SOFTWARE AND APIS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. IN NO EVENT SHALL JUANA LIMITED, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF FUNDS, PROFITS, OR DATA ARISING OUT OF YOUR USE OF THE PLATFORM.
6. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
